Terms of Service

These Terms of Service (“Terms”) govern your use of Learnalist’s websites, mobile applications, browser extensions, and related services (collectively, the “Services”). The Services are operated by Learnalist AS (“Learnalist”, “we”, “us”, or “our”).

By creating an account, accessing the Services, or purchasing paid access, you agree to these Terms. If you do not agree, do not use the Services.

Accounts

You are responsible for the activity on your account and for keeping your sign-in credentials secure. Information you provide must be accurate, and you must notify us promptly if you believe your account has been compromised.

You may not sell, transfer, or share an account in a way that gives another person access to a paid entitlement. You remain responsible for content and activity associated with your account.

Your Content

You retain ownership of content you submit to the Services. You give us the limited, non-exclusive rights necessary to host, process, transmit, back up, and display that content for the purpose of providing, maintaining, securing, and improving the Services. This permission lasts only for as long as needed for those purposes and does not transfer ownership of your content to us. Our handling of personal data is described in our Privacy Policy.

You are responsible for ensuring that your content and your use of it do not violate the law or another person’s rights.

Acceptable Use

You may not use the Services to:

  • break the law or violate another person’s rights;
  • upload malicious code or attempt to compromise an account, device, or system;
  • probe, disrupt, overload, or circumvent the security or operation of the Services;
  • scrape, crawl, or automate access except through functionality or interfaces we expressly provide;
  • resell the Services or provide shared access to a paid entitlement without our written permission; or
  • use the Services in a way that materially harms their availability, performance, or security.

Free Access

Learnalist may provide a free allowance or free functionality. The current allowance and features are shown in the app. We may change free access over time, but changes to free access do not reduce an active paid entitlement.

Annual Access

Annual Access unlocks unlimited note creation for normal personal use for one year from the applicable purchase or extension date, subject to the Fair Use section below. It is purchased with a single payment and does not renew automatically. You may buy another year or extend access when the app makes that option available. Unless the app states otherwise before purchase, Annual Access applies only to note creation and does not guarantee access to every current or future feature. When Annual Access expires, the free allowance and features then available apply.

Founding Lifetime Access

Founding Lifetime Access unlocks unlimited note creation for normal personal use for the commercial life of the Learnalist service, subject to the Fair Use section below. It is a one-time purchase and does not renew.

“Lifetime” refers to the commercial life of the Learnalist service, not the lifetime of the purchaser or any other person. It does not guarantee that every current or future feature, third-party service, storage option, or resource-intensive feature will always be included. We will not impose an ordinary fixed note-creation quota on normal personal use while the Learnalist service continues to operate and the entitlement remains valid.

Paid access is personal to the Learnalist account to which it is applied and may not be sold, transferred, or shared except where applicable law requires otherwise or we expressly permit it.

Fair Use

Paid access has no fixed monthly limit on note creation for normal personal use. Fair use does not permit unusually intensive, automated, abusive, fraudulent, or security-threatening activity, or activity that materially degrades the Services for others.

Where reasonably necessary to protect the availability, performance, or security of the Services, we may temporarily limit the rate or volume of that activity. Restrictions will be proportionate to the issue. Where practical, we will notify you and provide a reasonable opportunity to change the activity. Fair use will not be used to impose ordinary note limits on normal personal use.

Purchases, Verification, and Restoration

Purchases made through Apple’s App Store are processed by Apple and are also subject to Apple’s applicable payment terms and Standard Licensed Application End User License Agreement.

Learnalist verifies purchases before applying paid access. A verified purchase is associated with the Learnalist account used when it is applied. Use the Restore Purchases option while signed in to that account to restore an eligible purchase. Contact us at chris@learnalist.net if you need help locating a purchase.

Refunds and Revocations

Apple controls refunds for App Store purchases. Refund requests for those purchases must be made through Apple. If Apple refunds, reverses, or revokes a purchase, the corresponding paid entitlement may be removed or adjusted.

Nothing in these Terms limits any mandatory consumer right or remedy available under applicable law.

Withdrawal Rights and Service Defects

If you are a consumer, you may have a statutory right to withdraw from a distance purchase, commonly within 14 days, without giving a reason. The availability and exercise of that right, including any consent to immediate performance and acknowledgement that the right may be lost, are governed by applicable law and the purchase process through which you bought access. For an App Store purchase, follow Apple’s process for exercising any available withdrawal or refund right. You may also contact us for help.

If paid functionality is defective, materially not as described, or not supplied as required, you retain all remedies available under applicable consumer law. Depending on the circumstances, these may include having the problem corrected, a proportionate price reduction, or ending the contract and receiving a refund.

Service Changes and Availability

We may maintain, improve, add, remove, or change features over time. We do not promise that the Services will always be uninterrupted or error-free. Temporary interruptions may occur for maintenance, security, technical failures, or events outside our reasonable control.

If Learnalist is discontinued, Founding Lifetime Access ends when the Learnalist service reaches the end of its commercial life. This does not limit any mandatory rights or remedies you may have under applicable law. Where reasonably practicable, we will give advance notice and provide an opportunity to retrieve your content using functionality then available before the Services close.

Suspension and Termination

You may stop using the Services at any time. You may request account deletion as described in our Privacy Policy. Account deletion may make an entitlement or stored content permanently unavailable. Before requesting deletion, save any content you wish to keep using functionality then available. Contact support before deletion if you have an active purchase you want to preserve.

We may suspend or terminate access when reasonably necessary to address a material or repeated breach of these Terms, fraud, unlawful conduct, or a threat to the Services or others. Where practical, we will give notice and an opportunity to remedy the issue. Sections that by their nature should survive termination will continue to apply.

Intellectual Property

The Services, excluding your content, are owned by Learnalist or its licensors and are protected by applicable intellectual-property laws. These Terms do not grant you ownership of the Services, our trademarks, or our branding.

Disclaimers and Liability

To the extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not exclude or limit liability where doing so would be unlawful, including mandatory consumer protections. Subject to those rights, Learnalist is not liable for losses that were not a reasonably foreseeable result of our breach or failure to use reasonable care. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Governing Law

These Terms are governed by Norwegian law, without limiting any mandatory consumer protections that apply in your country of residence. Norwegian courts have jurisdiction unless applicable consumer law permits you to bring a claim elsewhere.

Changes to These Terms

We may update these Terms to reflect changes to the Services, the law, or our business. We will revise the effective date. When a change materially affects your rights or an ongoing paid service, we will provide reasonable advance notice by email, in-app notice, or another appropriate method, unless an urgent change is required for legal or security reasons. Changes will apply prospectively. We will not use a Terms update to retroactively remove an active paid user’s core note-creation entitlement. Any right to reject a change or end the contract under applicable law remains unaffected.
